If an Order Form, SOW, checkout page, partner agreement, or written proposal conflicts with this page, that document controls for the relevant engagement.

1. Agreement and Order Documents

AICycle provides AI consulting, process audits, implementation workshops, managed assistant services, content, automation, and related services. Scope, fees, timelines, milestones, acceptance criteria, and renewal terms for paid work are defined in the applicable Order Form, SOW, checkout page, proposal, or other written confirmation.

If you use the services on behalf of a company or organization, you represent that you are authorized to accept these Terms for that organization and that required procurement, legal, security, and data approvals have been completed.

2. Services and Delivery Boundaries

Plans, case studies, articles, AI assessment tools, and booking flows on the website are general commercial information or service entry points. They do not guarantee revenue, cost savings, search rankings, subsidy approval, legal compliance, platform approval, or any other specific outcome.

Advisory work, workshop materials, process documents, prompts, scripts, dashboards, and automation settings are delivered based on the information available at the time and reasonable commercial judgment. Third-party platform, API, policy, or customer workflow changes may require separate scope, fees, or timeline adjustments.

3. Client Responsibilities

Client must provide accurate, complete, and current contact details, requirements, assets, process documents, system access, and background information, and must review materials, answer questions, and assign decision makers within a reasonable time.

Client is responsible for ensuring that data, brand assets, customer lists, third-party system access, and platform accounts are lawfully provided for the engagement, and for handling internal legal, security, PDPA/GDPR, procurement, tax, and industry-specific regulatory requirements.

4. Fees, Payment, Cancellation, and Pauses

Unless the applicable Order Form states otherwise, fees are invoiced and collected in the currency shown in that document or checkout page. Payment timing, instalments, renewals, cancellation, refunds, and taxes are governed by the applicable Order Form, invoice, or checkout page.

If payment is late, a chargeback occurs, or Client fails to provide required information, AICycle may pause scheduling, delivery, account access, or third-party integrations until the amount is paid or the blocker is resolved.

5. AI-assisted Outputs and Third-party Platforms

AICycle may use AI-assisted outputs to help produce drafts, analysis, classifications, code, process recommendations, customer support responses, marketing content, or reports. Client must review those outputs against its business, legal, and brand requirements before external use.

Third-party platforms include Google, Cloudflare, Stripe, LINE, Meta, LinkedIn, Cal.com, email providers, databases, automation tools, and similar services. Each third-party platform remains governed by its own terms, rates, limits, approval policies, availability, and data processing rules.

  • AICycle does not provide legal, tax, medical, financial, investment, or insurance advice
  • Client remains responsible for deciding whether AI outputs are suitable for its use case
  • Third-party outages, policy changes, account restrictions, or rate changes are not fully within AICycle control

6. Data, Account Access, and Confidentiality

Each party will protect the other party’s non-public business information. AICycle uses Client data only to provide services, operate and secure systems, comply with law, or complete tasks Client requests.

If a service connects to Google, email, CRM, payment, cloud storage, social, or other third-party accounts, Client should grant only the minimum permissions needed and may revoke access through the relevant platform. Personal data and cookie handling are described separately in the Privacy Policy.

7. Intellectual Property

AICycle retains all rights in its pre-existing methods, frameworks, templates, prompts, code, scripts, workflows, document structures, tools, and know-how.

Unless the applicable Order Form states otherwise, after full payment Client may use expressly delivered work product for its internal business purposes. Client may not resell, sublicense, publicly distribute, or remove attribution from AICycle underlying methods, templates, or tools without written permission.

8. Discounts, Partner Programs, and Funding Information

Any regional, pilot, partner, case-study, or Southeast Asia Partnership Program discount is discretionary, applies only to the specific Order Form that states it, creates no precedent, and does not create any MFN, parity-pricing, or most-favoured-customer obligation.

Any reference to EDG, government grants, partner subsidies, platform credits, or other funding programs is general information only and does not promise eligibility, approval, payment, reimbursement, or final amount.

9. Warranty Disclaimer and Risk

To the extent permitted by law, the website and services are provided as is. AICycle does not warrant uninterrupted service, error-free operation, compliance with every future third-party policy, or any specific business, technical, ranking, approval, financial, or regulatory outcome.

Client should keep backups of important data, review public-facing content, control system permissions, and confirm internal risk tolerance before deploying automation or AI workflows.

10. Limitation of Liability

Except where liability cannot lawfully be excluded, AICycle is not liable for indirect, consequential, special, punitive, or incidental damages, lost profits, loss of goodwill, loss of data, platform downtime, third-party service interruption, or business interruption.

To the fullest extent permitted by law, AICycle’s aggregate liability for any engagement or service claim is limited to the amounts Client actually paid to AICycle for the services giving rise to the claim during the six months before the claim arose.

11. Suspension, Termination, and Updates

AICycle may suspend or terminate services if Client breaches these Terms, fails to pay, misuses services, infringes third-party rights, requests unlawful or high-risk actions, or creates security, platform policy, or legal compliance risk.

AICycle may update these Terms from time to time. Material changes will be posted on the website or communicated through reasonable means. Continued use of the website or services after an update means you accept the updated Terms.

12. Governing Law and Dispute Resolution

These Terms and any related Order Form are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules.

Any dispute will be resolved by binding arbitration under SIAC in Singapore or HKIAC in Hong Kong, at AICycle’s election. The parties agree to first attempt good-faith negotiation before commencing formal proceedings.
